General terms and conditions of sale - Delta Projects vzw
Applicable from 01/01/2020
Applicability
Delta Projects vzw is a company that provides a wide range of services.
By signing or accepting the agreement, order confirmation or order form (including digital acceptance), the client declares to be aware of the general terms and conditions and to accept them. These general terms and conditions are an indivisible whole with the invoice made and the parties declare to have explicitly taken note of them.
To the extent that the provisions of the general terms and conditions deviate from provisions of the order form, order confirmation and/or agreement, the provisions of the order form, order confirmation and/or agreement shall prevail.
Quotation
Unless the offer states otherwise, the offer drawn up by Delta Projects vzw is valid for 21 calendar days. An offer, order confirmation or order form signed by the client constitutes a binding agreement.
Execution of the agreement
The goods/services are provided as described on the invoice or in the order form or quotation. The client must immediately check the goods/services provided. Any complaints must be submitted within 15 working days of receipt at the latest. Hidden defects must be reported within 30 working days after discovery at the latest.
Parties will always perform the agreement to the best of their ability, in good faith and in accordance with common market practice. The client must ensure that all information which Delta Projects vzw indicates is necessary or which the client should reasonably understand is necessary for the performance of the contract has been submitted to Delta Projects vzw in good time. Failing this, Delta Projects vzw is entitled to suspend the performance of the contract and/or charge the client for the extra costs arising from the delay.
If work is carried out by Delta Projects vzw at the client's location, the client will provide the desired facilities free of charge.
In the event of payment arrears on the part of the client, Delta Projects vzw is always entitled to terminate all services immediately.
Delivery and delivery period
The delivery and term of delivery of the order shall be determined in mutual consultation, taking into account the size and complexity of the orders with the usual tolerance specific to the domain of service provided.
If no delivery period has been agreed, Delta Projetcs vzw will execute the order within a reasonable period of time. If the client requests changes or issues additional orders, which are accepted by Delta Projetcs vzw, the delivery period will be extended by the time that is reasonably necessary to carry out these changes and/or additional orders.
Any delay in delivery cannot give rise to compensation or termination of the agreement.
In the event of bankruptcy, apparent incapacity or force majeure, we reserve the right to terminate the agreement unilaterally and without the need for prior notice of default.
Cancellation
Cancellation of the order is only possible if it is requested in writing by the client, at the latest within 2 working days after the order is placed and at the latest 24 hours before the service is provided. Cancellations need to be confirmed by us in writing. In the event of cancellation, the customer will owe a fixed compensation of 10% of the total value of the order, without prejudice to proof of higher damage by the seller.
Prices and payment
Unless otherwise specified, all prices quoted are VAT inclusive.
From the moment that the order form, quotation or order confirmation of Delta Projects vzw has been approved by the client, a binding agreement has arisen and the client has an obligation to pay.
Invoices from Delta Projects vzw must always be paid within 30 days of the invoice date, unless the invoice specifies a different due date.
From the moment that the client exceeds the payment term, he owes, by law and without notice of default, interest equal to 12% per annum and compensation of 10%, with a minimum of EUR 40. Any other outstanding invoices shall then become immediately due and payable, regardless of whether or not they have reached their due date.
In the event that the client is of the opinion that the invoiced amount is not correct or justified, he must submit his comments to Delta Projects vzw at the latest within 10 days of receipt of the invoice. After this period, the claim shall be considered final and the amount shall be due in an undisputed manner.
Protest of any kind by the Client does not suspend the Client's obligations (including payment obligations).
The client agrees to receive electronic invoices by e-mail. At the client's simple request, the client may opt for paper invoices. No extra costs will be charged for this.
Changes
Delta Projects vzw reserves the right to amend or complete the general terms and conditions. Amendments apply also to agreements already made, subject to a period of 30 days after written notice of the amendments.
If the client does not agree with the amended general terms and conditions, he is entitled to terminate the agreement as from the moment the amendment of the general terms and conditions take effect.
Changes to the prices will be announced to the client by Delta Projects vzw at least 30 days in advance, after which the client has the right to terminate the agreement as from the moment that the changed prices take effect.
Legal
All our agreements are subject to Belgian law. Disputes, if any, will be brought exclusively before the courts of the district of our registered office.

Processing purposes
Delta Projects vzw collects and processes customers' personal data for customer and order management (e.g. customer administration, follow-up of orders/deliveries, invoicing, monitoring solvency), and for direct marketing.
Legal basis of the processing
Personal data are processed on the basis of Article 6.1. (a) consent, (b) (necessary for the performance of a contract), (c) (necessary to comply with a legal obligation) and/or (f) (necessary for the protection of our legitimate interest to undertake) of the General Data Protection Regulation (GDPR).
Insofar as the processing of personal data takes place on the basis of Clause 6.1. a) (consent), the customer has the right to withdraw the consent given at any time].
Storage period
Personal data processed for customer management purposes will be retained for the period necessary to comply with legal requirements (e.g. in the field of accounting).
Personal data processed for direct marketing purposes will be retained until the relationship requests the deletion of the data, or until such time as it is relevant to our business in pursuit of the legitimate interest of doing business.
Right of access, rectification, erasure, restriction, objection and portability of personal data
The customer has the right at all times to inspect his personal data and can correct them (or have them corrected) if they are incorrect or incomplete, have them removed, have them restricted and object to the processing of personal data concerning him on the basis of Article 6.1 (e) or (f), including profiling on the basis of those provisions.
In addition, the customer has the right to obtain a copy (in a structured, common and machine-readable form) of his personal data and to have the personal data forwarded to another company.

Direct Marketing
The customer has the right to object, free of charge, to any processing of his personal data for the purposes of direct marketing.
Complaint
The Client has the right to file a complaint with the Commissie voor de Bescherming van de Persoonlijke Levenssfeer (Drukpersstraat 35, 1000 Brussel - commission@privacycommission.be).
